Investment and Offtake Arrangements

Highlights

Obtala Resources Limited (AIM:OBT), the African focused agricultural and timber company, is pleased to announce that it has entered into separate agreements with three independent, international timber focused investors to secure an investment of approximately US$3m for its forestry division in return for minority equity interests and certain off-take rights over specified forest concessions in Mozambique (the "Transaction").

Investment

The Company has secured a total investment of c.$3 million, of which c.$1.2 million has been received with the balance due by 30 June 2016. The Company plans to invest as follows:

·    Build two kilns on-site to improve timber quality and recovery rates;

·    Develop a new sales and distribution centre in Maputo, the capital of Mozambique, to service new export markets and enhance the domestic sales service;

·    General working capital; and

·    The formation of a Social and Community Development Fund focusing on providing labour, health and education programmes in Mozambique.

The proceeds of the investment will be paid directly to Obtala Resources plc and the Board of the Company will determine the use of proceeds that best develops the business plan.

The Transaction

The forestry business is currently owned by Argento Continental Corporation ("Argento"), a wholly owned subsidiary of the Company's 75% owned subsidiary, Montara Continental Corporation. (Seychelles) ("Montara").  

To effect the investment, 3 Special Purpose Vehicles (or SPVs) are being used namely, i) Meradell Inc ii) Meradell (1) Limited and iii) Meradell (2) Limited. These companies will manage the administration and economic rights of each investor and their respective offtake arrangements. The Company, through its subsidiary Argento, will continue to hold the legal rights and obligations of the concessions. Each investor will enjoy economic rights for a certain amount of hectares commensurate with their investment.

Global Timber Investment Ltd, a company based in Hong Kong, will invest a total of $900,000 with US$600,000 payable on 1 March 2016 and the remaining $300,000 to be paid by 1 June 2016. Global Timber Investment Ltd will receive 15% of the issued share capital of Meradell (1) and the economic rights of up to 3,000 hectares (equivalent to 15% of the total concession area).

George Miller, a private investor based in the US, will invest CAD$1,610,000 immediately. The investor will receive 12.5% of the issued share capital of Meradell (2) Limited and the economic rights of up to 6,250 hectares (equivalent to 12.5% of the total concession area).

Basic Materials Ltd, a company with offices in Hong Kong and Russia, will invest a total of $900,000, with $600,000 payable on 30 April 2016 and the remaining $300,000 to be paid by 30 June 2016.  Basic Materials Ltd will receive 17.5% of the issued share capital of Meradell Inc, and the economic rights of up to 3,500 hectares (equivalent to 17.5% of the total concession area). Furthermore, Basic Materials Ltd have entered into a sales and marketing agreement to supply timber to Asia (including Russia) and the Middle East.

Argento, the wholly owned subsidiary of Montara will be the operating, controlling and balancing shareholder in all the subsidiaries above.

Offtake sales agreement

The Company has entered into binding commercial agreements with regard to timber sold via the offtake arrangements. The Company will supply timber through a new wholly owned Mozambican registered trading company, Meradell Trading to the specific trading entities with each investor.  The price and quantity of timber will be determined according to specification that are required from each sales order.

Meradell Trading will pay each SPV a fixed return of 5% per annum of the aggregate investment payable bi-annually. Also, Meradell Trading will pay 5% of its profits into a fund to support social programmes to benefit local Mozambique communities in which the concessions operate. The formation of a Social and Community Development Fund financed from the timber revenues will focus on providing labour, health and education programmes in Mozambique. This Fund will ensure that we are a socially positive impact company within the host countries and communities in which we operate.

Listing of forestry division

As a result of this Transaction we are reviewing our commitment to listing the forestry business as reported in the RNS on 15 October 2015. We continue to assess and evaluate this strategic option in light of the current transaction but anticipate that this is a longer term objective than initially envisaged.  Our immediate priority is to progress our business plans on both the forestry and agriculture businesses and to ensure that shareholders and stakeholders in the Company are rewarded.

Kevin Milne, Deputy Chairman of Obtala commented today; "This investment allows us to materially progress our forestry business in Mozambique.  It ensures that Obtala retains a strong balance sheet without the requirement to issue equity or relinquish material interests in the forestry business which we value highly.

We now look forward to bringing forward revenues through access to new international export markets that were not previously open to us. More specifically, Basic Materials Ltd, an off taker and investor, which is based in Hong Kong, Shanghai and Russia, affords a route to these valuable markets. Whilst, the creation of the distribution centre in Maputo will provide direct access to local consumers on both a wholesale and retail basis.

Finally, this investment will ensure we can invest in the labour, health and education programmes in Mozambique and ensure we can contribute socially in our host country. We look forward to advising shareholders on the roll out and delivery of the business plan. "

New landmark contract with leading global aerospace and defence contractor

 

Pennant International Group plc ("Pennant"), the Aim quoted supplier of integrated logistic support solutions, products and services, principally to the defence, rail, aerospace and naval sectors and to Government Departments, is pleased to announce that its wholly owned subsidiary, Pennant Training Systems Limited, has been awarded a new, landmark contract with one of the world's leading  aerospace and defence contractors.

The contract, referred to in the trading update announcement of 11 December 2015 when pre-contract work had begun, has a value of £0.2m. It also includes further options which, if exercised by the customer will increase its aggregate value to in excess of £2.2m over 18 months.

The contract is for the development of training for aircrew and engineering staff.

SpaceandPeople, (AIM:SAL) the retail, promotional and brand experience specialist, today announces a new portfolio contract win as well as providing a trading update ahead of its final results for the year ended 31 December 2015, which will be released on 29 March 2016.

New Contract Signed

SpaceandPeople has signed a multi-year contract, which commenced on 1st January 2016, to manage promotional space at British Land's Drake Circus Shopping Centre in Plymouth. SpaceandPeople expects to extend this contract across 40 other assets, covering the majority of British Land's multi-let retail portfolio in due course.

With a high quality vision for their venues, British Land has chosen SpaceandPeople based on the company's track-record in brand experience and outdoor marketing.

Retail assets in the portfolio include Meadowhall, Sheffield; Ealing Broadway, London; Old Market, Hereford; Glasgow Fort, Glasgow; Fort Kinnaird, Edinburgh; Teeside, Stockton-on-Tees; Broughton, Chester; and New Mersey, Speke.

Trading Update

Trading in the second half of 2015 was in line with management expectations. Management expects profit before tax attributable to shareholders for the year to be approximately £1.0 million. Whilst this is slightly below current market expectations, the principal reason for this is due to a timing difference following a decision to recognise an element of promotional revenue that is now derived from Mobile Promotions Kiosks ("MPKs") on the same basis as we recognise revenue from Retail Merchandising Units. This change has resulted in the deferral of £150k of net promotional revenues from 2015 to 2016. The decision to account for revenue in this manner gives management better sight of future revenue and will be the standard accounting treatment applied to this type of revenue going forward.

During 2015 the new MPK concept was rolled out as planned with 46 units operational by the end of the year. A decision was also taken to accelerate our investment in France during the final quarter of 2015, in advance of the Immochan contract start date of 1 January 2016, which is expected to help drive revenue more effectively.

Despite these decisions, basic EPS is expected to be in line with market expectations at 4.3p and as a result, the Board intends to propose a final dividend of 2.2p per share at the forthcoming Annual General Meeting. This is a 10% increase on the 2.0p dividend paid in April 2015.

After the investment of £650k in MPKs during 2015, net cash as at 31 December was £0.75 million plus an additional £400k held in escrow (2014: £1.6 million).

Matthew Bending commented further:

 "2015 has been a transitional year for the business with a major contract being agreed with Network Rail for the first time, the successful launch of our MPK programme and the agreement with Immochan to launch a pilot scheme in France for the first time. The Company continues to progress and with the announcement of a new relationship with British Land we have had a positive start to 2016."

Final results for the year ended 31 December 2015 will be released on 29 March 2016 with the Annual General Meeting being held on 28 April 2016.

Mr Rieder, who is based in Denmark, has over 20 years of experience as a senior executive and consultant building companies, markets and revenues globally while heading up start-ups, advising on board positions, and leading business development and growth for companies and customers in Scandinavia, Europe and the Middle East. After graduating from Aarthus School of Business, Mr Rieder joined leading telecom provider Tele Danmark where he took on a series of commercial roles finally becoming a Product Director. He then moved to a telecom start-up Sunrise Communications in Switzerland where he joined as Chief Commercial Officer and was later promoted to Chief Operating Officer leading the product roadmap activities and successfully developing the initial product launch plan. At Danish TDC Fixnet Nordic he served as Executive Vice President and Member of Executive Board focusing on restructuring the organisation with emphasis on strengthening customer service and sales operation. He was also responsible for optimisation of distribution channels by redefining a nationwide chain of retail shops and call centres. He was also a Deputy Chief Executive Officer of Vopium, a global voice over internet protocol player, helping to prepare the company for listing on Euronext Paris. Mr Rieder also served as Chief Executive Officer of Batelco in Bahrain one of the leading telecom providers in the Middle East and Africa region and as Chief Executive Officer for Comendo Group, the leading provider of cloud-based IT-security solutions in Scandinavia – both publicly listed companies that focused on acquisitive growth.

 

Currently Mr Rieder is a non-executive director of Challenger Acquisitions Limited, a company listed on the London Stock Exchange that is focused on the attractions sector. In this role, he is responsible, together with his colleagues, for sourcing, negotiating and executing appropriate investment or acquisition opportunities. Mr Rieder is highly experienced in consumer marketing having built his career creating and selling products and services.

 

Mark Garland Gustafson, Non-executive Director

(born 23 November 1959 aged 55)

 

Mr Gustafson is a Canadian based Chartered Accountant with over 30 years of experience in building public and private companies and arranging financing either as a senior executive or through his personal consulting company, M.G.G. Consulting. Over the span of his career he has been actively involved in numerous corporate acquisitions directly participating in debt and equity fund raisings totalling over 200 million Canadian dollars ("CAD"). After qualifying as a Chartered Accountant with Price Waterhouse, Mr Gustafson joined EnServ Corporation where he spent 6 years helping to build the company through various acquisitions into a sizable energy services company, which in 1996 was acquired for CAD 229 million by Precision Drilling Corporation. Mr Gustafson then served as President and Chief Executive Officer of Total Energy Services Ltd, a Toronto Stock Exchange listed company providing oilfield rental services, for which he raised CAD 25 million.  He also served as Chairman and Chief Executive Officer of Triangle Petroleum Corporation where he helped to lead active exploration shale plays in North America and to raise over USD 84 million in convertible and equity instruments. More recently Mr Gustafson held the position of President and Chief Executive Officer of Euromax Resources Ltd. where he was responsible for securing funding of CAD 18 million to advance gold and base metal projects in Serbia, Macedonia and Bulgaria. Previously Mr Gustafson served as Chairman of Tuzo Energy Corporation, overseeing an unconventional oil and gas company and helping to raise CAD 50 million in private equity funding to advance this project.

 

Currently Mr Gustafson is Chief Executive Officer of Challenger Acquisitions Limited (and director of several subsidiaries of Challenger Acquisitions Limited), a company listed on the London Stock Exchange that is focused on the attractions sector. He is also a director of the Founder. William Clark Kennish, Non-executive Director

Mr Kennish is a London based investment banker and adviser who has specialised in the Telecoms, Media and Technology space for over 20 years. Since 2013, he has been a managing director of TAP Securities, where he advises on transactions in the Telecoms sector, which continues to be his principal activity. Prior to joining TAP, Mr Kennish was a Senior Managing Director and Head of the Europe, Middle East and Africa TMET investment banking practice at Macquarie Capital in London. From 2006 until 2010, he was a Managing Director and Head of the EMEA TMT investment banking group at Citi. During his career, Mr Kennish has extensive experience in telecoms M&A and capital raising and has advised on a variety of landmark transactions in the sector.

 

Mr Kennish graduated magna cum laude from Harvard College in 1989 with a degree in history and economics and received an MBA from the Amos Tuck School at Dartmouth College in 1994.
